1. Introduction

Welcome to Zuato Financial Services. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zuato Financial Services ("Zuato," "Company," "we," "us," or "our"), governing your access to and use of our payment processing services, platforms, applications, and related services (collectively, the "Services").

By accessing or using our Services, creating an account, or clicking to accept or agree to these Terms when this option is made available to you, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Important: If you do not agree to these Terms, you must not access or use our Services. These Terms affect your legal rights and obligations, so please read them carefully.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

"Account"
means the merchant account or user account created to access and use Zuato's Services.
"Merchant"
means any business entity or individual that uses Zuato's payment processing services to accept payments from customers.
"Transaction"
means any payment, refund, chargeback, or other financial operation processed through our Services.
"Payment Credentials"
means credit card numbers, debit card numbers, bank account information, and any other financial information used to process payments.
"API"
means Application Programming Interface, including any documentation, code, and tools provided by Zuato for integration purposes.
"Settlement"
means the transfer of funds from processed transactions to the Merchant's designated bank account.
"Chargeback"
means a demand by a credit card provider for a Merchant to reimburse a disputed or fraudulent transaction.
"Platform"
means Zuato's website, dashboard, mobile applications, APIs, and any other technology used to deliver the Services.

3. Account Registration

3.1 Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Be a legally registered business entity or sole proprietor
  • Not be prohibited from using payment services under applicable laws
  • Provide accurate and complete registration information

3.2 Account Information

When creating an account, you agree to provide accurate, current, and complete information as required during the registration process. This includes but is not limited to:

  • Legal business name and registration details
  • Business address and contact information
  • Beneficial ownership information
  • Bank account details for settlements
  • Tax identification numbers
  • Valid identification documents

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong, unique password
  • Not share your login credentials with unauthorized parties
  • Immediately notify us of any unauthorized access or security breach
  • Regularly review your account activity for suspicious transactions
  • Enable multi-factor authentication when available

Note: We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk to our platform.

4. Services Description

Zuato Financial Services provides comprehensive payment processing solutions, including but not limited to:

4.1 Payment Gateway Services

Our payment gateway enables secure online payment acceptance, supporting multiple payment methods including credit cards, debit cards, and digital wallets. We provide real-time transaction processing, fraud detection, and secure payment tokenization.

4.2 POS Terminal Services

We offer physical point-of-sale terminals for in-person payment acceptance, including contactless payments, chip and PIN transactions, and mobile payment solutions.

4.3 Settlement Services

We facilitate the transfer of funds from processed transactions to your designated bank account according to the settlement schedule agreed upon in your merchant agreement.

4.4 Merchant Dashboard

Access to our online dashboard for transaction management, reporting, analytics, and account administration.

4.5 API Integration

Developer tools, APIs, and SDKs for integrating our payment services into your applications and platforms.

4.6 Additional Services

Other services as described on our website or in separate service agreements, including recurring billing, invoicing, and digital wallet solutions.

5. User Obligations

As a user of our Services, you agree to:

5.1 Compliance Obligations

  • Comply with all applicable laws, regulations, and industry standards, including PCI DSS requirements
  • Maintain all necessary licenses and permits for your business operations
  • Comply with card network rules and regulations (Visa, Mastercard, etc.)
  • Implement appropriate anti-money laundering (AML) and know-your-customer (KYC) procedures
  • Report suspicious activities as required by law

5.2 Operational Obligations

  • Provide clear and accurate product/service descriptions to your customers
  • Honor your refund and return policies
  • Respond promptly to customer inquiries and disputes
  • Maintain adequate customer service capabilities
  • Keep transaction records as required by applicable laws

5.3 Technical Obligations

  • Maintain secure systems and protect customer data
  • Keep integration software and APIs up to date
  • Follow our technical documentation and guidelines
  • Test integrations in sandbox environments before going live

6. Payment Terms

6.1 Fees and Charges

You agree to pay all fees associated with your use of the Services as outlined in your merchant agreement. Fees may include:

  • Transaction processing fees (percentage and/or fixed per transaction)
  • Monthly service fees
  • Setup or integration fees
  • Chargeback fees
  • Currency conversion fees
  • Any other fees as specified in your agreement

6.2 Settlement

We will settle funds to your designated bank account according to the schedule specified in your merchant agreement. Settlement times may vary based on:

  • Your account standing and risk profile
  • Transaction type and volume
  • Bank processing times
  • Applicable reserve requirements

6.3 Reserves and Holdbacks

We may establish a reserve account or withhold a portion of your funds as security against chargebacks, refunds, or other liabilities. The reserve amount and terms will be specified in your merchant agreement.

6.4 Chargebacks and Disputes

You are responsible for all chargebacks, disputes, and associated fees. You agree to:

  • Respond to chargeback notifications within the specified timeframe
  • Provide documentation to support dispute resolution
  • Accept financial responsibility for unresolved chargebacks
  • Maintain chargeback rates within acceptable thresholds

Warning: Excessive chargeback rates may result in increased fees, reserve requirements, or termination of your account.

7. Prohibited Activities

You may not use our Services for any illegal, fraudulent, or prohibited purposes. Prohibited activities include but are not limited to:

7.1 Illegal Activities

  • Money laundering or terrorist financing
  • Processing payments for illegal goods or services
  • Fraud, identity theft, or deceptive practices
  • Violations of sanctions or export control laws
  • Tax evasion or other financial crimes

7.2 Prohibited Business Types

  • Illegal drugs or controlled substances
  • Weapons, ammunition, or explosives (unless properly licensed)
  • Adult content or services (unless pre-approved)
  • Gambling (unless properly licensed and approved)
  • Pyramid schemes or multi-level marketing scams
  • Counterfeit goods or intellectual property violations
  • High-risk financial services without proper licensing

7.3 Platform Abuse

  • Attempting to bypass security measures or access controls
  • Reverse engineering, decompiling, or disassembling our software
  • Using automated systems to access our Services without permission
  • Interfering with the proper functioning of our platform
  • Submitting false or misleading information

8. Intellectual Property

8.1 Our Intellectual Property

All intellectual property rights in the Services, including but not limited to software, APIs, documentation, trademarks, logos, and content, are owned by Zuato Financial Services or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purpose.

8.2 Restrictions

You may not:

  • Copy, modify, or distribute our intellectual property without permission
  • Use our trademarks or branding without written authorization
  • Create derivative works based on our Services
  • Remove or alter any copyright or proprietary notices

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our Services without any obligation to you.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged in connection with the Services.

Confidential information includes, but is not limited to:

  • Business strategies, plans, and financial information
  • Technical information, including APIs, software, and documentation
  • Customer data and transaction information
  • Pricing and fee structures
  • Any information marked as confidential

9.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was already known to the receiving party
  • Is independently developed by the receiving party
  • Is required to be disclosed by law or court order

10. Data Protection

10.1 Data Processing

We process personal data in accordance with our Privacy Policy and applicable data protection laws. By using our Services, you acknowledge and consent to such processing.

10.2 Your Responsibilities

As a merchant, you are responsible for:

  • Obtaining necessary consents from your customers for data processing
  • Implementing appropriate data security measures
  • Complying with PCI DSS requirements
  • Notifying us immediately of any data breaches
  • Complying with applicable data protection laws (GDPR, etc.)

10.3 Data Security

We implement industry-standard security measures to protect data processed through our Services, including encryption, tokenization, and access controls. However, no system is completely secure, and we cannot guarantee absolute security.

11. Service Availability

11.1 Uptime Commitment

We strive to maintain high availability of our Services. Our target uptime is 99.9%, measured on a monthly basis. However, we do not guarantee uninterrupted access to our Services.

11.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects service availability. We will provide advance notice of scheduled maintenance when possible.

11.3 Service Interruptions

We are not liable for service interruptions caused by:

  • Force majeure events (natural disasters, wars, etc.)
  • Third-party service provider failures
  • Network or infrastructure issues beyond our control
  • Security incidents requiring immediate response
  • Your failure to maintain compatible systems

12. Third-Party Services

Our Services may integrate with or rely on third-party services, including payment networks, banking partners, and technology providers. We are not responsible for the actions, performance, or availability of third-party services.

Your use of third-party services may be subject to additional terms and conditions. We encourage you to review the terms of any third-party services you use in connection with our Services.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

You acknowledge that your use of the Services is at your sole risk and that we are not responsible for any losses arising from your use of the Services.

14. Limitation of liability

To the maximum extent permitted by applicable law:

  • Zuato shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
  • Zuato's total liability for all claims arising from or relating to these terms or the services shall not exceed the total fees paid by you to Zuato in the twelve (12) months preceding the claim.
  • These limitations apply regardless of the theory of liability and even if Zuato has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Zuato Financial Services, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Any fraud, negligence, or willful misconduct by you
  • Disputes with your customers or business partners
  • Any chargebacks, refunds, or payment disputes

16. Termination

16.1 Termination by You

You may terminate your account at any time by providing written notice to us. Upon termination, you must:

  • Cease all use of the Services
  • Pay all outstanding fees and charges
  • Resolve all pending transactions and disputes
  • Return or destroy any confidential information

16.2 Termination by Us

We may suspend or terminate your account immediately and without notice if:

  • You breach these Terms or your merchant agreement
  • You engage in fraudulent or illegal activities
  • Your chargeback rate exceeds acceptable thresholds
  • We are required to do so by law or regulatory authorities
  • Your continued use poses a risk to us or our partners

16.3 Effect of Termination

Upon termination:

  • Your access to the Services will be disabled
  • Outstanding balances will be settled according to your agreement
  • Reserves may be held for a period to cover potential chargebacks
  • Provisions that by their nature should survive termination will remain in effect

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us to attempt to resolve any dispute informally. Most disputes can be resolved through our customer support channels.

17.2 Mediation

If informal resolution is unsuccessful, either party may request mediation. The mediation will be conducted by a mutually agreed-upon mediator, with costs shared equally between the parties.

17.3 Arbitration

Any dispute not resolved through informal resolution or mediation shall be resolved by binding arbitration in accordance with the rules of the relevant arbitration authority in the United Arab Emirates. The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding.

17.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the courts located in the United Arab Emirates.

19. General Provisions

19.1 Entire Agreement

These Terms, together with your merchant agreement and any other documents incorporated by reference, constitute the entire agreement between you and Zuato regarding the Services and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without your consent to an affiliate or in connection with a merger, acquisition, or sale of assets.

19.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.6 Notices

All notices required or permitted under these Terms shall be in writing and delivered to the addresses specified in your account or merchant agreement. Notices to Zuato should be sent to the address provided in the Contact Information section below.

19.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Zuato. Each party is an independent contractor.
